About the Role

Sellers Dorsey is seeking an Associate General Counsel who will be responsible for highly complex, difficult, and novel professional legal work for the Company with limited supervision. This position provides advanced legal support to the Company on client engagements from program design to implementation, collaborating with management and client and sales teams on initiatives in Medicaid and other healthcare-related financing, managed care, and provider reimbursement policy. The employee must have a strong working knowledge of healthcare legal matters, federal and state Medicare and Medicaid law, as well as state/local government and commercial contracting. The position is recognized as an advanced practitioner and performs work with the utmost independence.

Key Responsibilities

• Monitors and advises the Company on healthcare requirements with a focus on federal and state Medicare and Medicaid statutes, regulations and policy and related developments, including litigation, which impact the Company’s work on client engagements; provides advanced legal support to the Company on designated project engagements; develops and provides written and oral legal advice to client servicing staff, including legal analysis of relevant health-care related laws and regulations and their potential impact on client programs and policies, and operational strategy; identifies and assists in mitigating risks relating the Company work on client engagements; develops and presents internal training on Medicaid and other healthcare-related topics relevant to the Company’s work; oversees relationships and interactions with external legal counsel on healthcare-related finance and policy issues.
• Advises on and represents Company in contract negotiations. This may include state/local government and commercial contracting. Examines, prepares, reviews and edits contracts, procurement documents, proposals and other legal documents from clients, subcontractors, consultants, and vendors, including drafting BAAs, Data Use Agreements, and the like.
• Provides support on Marketing activities (reviewing external materials for legal compliance and accuracy).
• Assists with all phases of Mergers & Acquisitions (“M&A”) activities, including due diligence, deal documents, outside counsel management, and integration.
• Assists other functional areas and performs related work as required, including internal team projects, risk mitigation strategy, substantive healthcare work, and supporting oversight and management of outside counsel engagements for general business or administrative matters.

Requirements

• JD/ Law Degree from an ABA accredited institution. Admission in good standing in at least one U.S. jurisdiction is required. Admission in good standing (or the ability to obtain admission as corporate counsel within one (1) year) to the Pennsylvania Bar is required.
• A minimum of 8 years of professional legal experience preferably in areas relevant to the Company services. A combination of in-house or government and firm experience preferred.
• Knowledge of common law and state and federal laws relevant to Company business including, but not limited to, Medicare and Medicaid.
• Working knowledge of M&A preferred but not required.
• Knowledge of the principles, methods, materials, and practices of legal research.
• Familiarity with contract management systems and compliance tools preferred.
• Ability to conduct legal research and interpret, analyze, and organize facts, evidence, and precedents and to present such material in clear and logical form.
• Ability to interpret and draft contracts and other legal instruments.
• Ability to establish and maintain effective working relationships.
• Ability to communicate effectively.
